1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and TradingPlus Inc. ("we," "us," or "Company") governing your access to and use of the websites and services operated under the pdf.fit family of domains.

By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

2. Description of Services

TradingPlus Inc. provides online PDF manipulation tools accessible through the following domains and services:

• pdf.fit — Main hub and legal entity
• signpdf.fit — Visual signature overlay tool
• fillpdf.fit — Automatic PDF form filling

2.1 Sign PDF Service (signpdf.fit)

The Sign PDF service allows users to add a visual representation of their signature to PDF documents. This service:

• Provides a visual signature overlay — an image placed on the PDF
• Does NOT provide cryptographic digital signatures
• Does NOT provide legally certified electronic signatures
• Does NOT guarantee acceptance by any third party, government, court, or institution
• Does NOT claim compliance with eIDAS, ESIGN Act, UETA, or other e-signature regulations

Important: The legal validity and acceptance of documents signed using our service depends entirely on the requirements of the recipient and applicable laws. We make no representations about legal validity. Consult a legal professional if you require legally binding signatures.

3. Eligibility

To use our services, you must:

• Be at least 16 years of age (or the age of majority in your jurisdiction, if higher)
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using our services under applicable laws

If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Prohibited Uses

You agree not to use our services for any unlawful purpose or in violation of these Terms. Specifically, you must not:

• Upload, transmit, or process any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
• Use our services to commit fraud, forgery, or identity theft
• Forge signatures of other individuals without proper authorization
• Upload documents you do not have the right to modify
• Attempt to gain unauthorized access to our systems or other users' data
• Use automated systems (bots, scrapers) to access our services without permission
• Interfere with or disrupt the integrity or performance of our services
• Circumvent any technological measures we use to protect our services
• Use our services in any manner that could damage, disable, or impair our servers or networks
• Violate any applicable local, state, national, or international law or regulation

5. User Content & License

5.1 Your Ownership

You retain all ownership rights to the content you upload to our services, including PDF documents, signature images, and any text or data you provide. We do not claim any ownership interest in your content.

5.2 License to Us

By uploading content to our services, you grant TradingPlus Inc. a limited, non-exclusive, royalty-free, temporary license to:

• Process, modify, and transform your content solely to provide the requested service
• Store your content temporarily as necessary to complete the processing
• Transmit the processed content back to you

This license terminates automatically when your content is deleted from our systems (within 1 hour(s) of upload). We do not use your content for any purpose other than providing the service you requested.

5.3 Your Responsibilities

You are solely responsible for the content you upload. You represent and warrant that you have all necessary rights and permissions to upload, modify, and use the content, and that your use of our services does not infringe any third party's rights.

6. Payments & Billing

6.1 Pricing Model

Our services operate on a pay-per-download basis. You can preview your processed PDF for free (with a watermark). Payment is required only when you choose to download the final, watermark-free version.

All prices are displayed in USD and include applicable taxes unless otherwise stated.

6.2 Payment Processing

All payments are processed securely through Stripe. By making a payment, you agree to Stripe's terms of service. We do not store your full payment card details.

6.3 Refund Policy

Due to the nature of digital downloads, refunds are generally not provided after successful delivery of the final PDF file. However, we may consider refunds on a case-by-case basis if:

• The service failed to function as described due to a technical error on our end
• The processed file was corrupted or unusable
• You were charged in error (e.g., duplicate payment)

To request a refund, please contact us at support@pdf.fit within 7 days of your purchase, providing your transaction details.

7. Intellectual Property

The services, including all software, design, text, graphics, logos, and other content (excluding user-uploaded content), are owned by or licensed to TradingPlus Inc. and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services or included content without our express written permission.

"pdf.fit," "SignPDF," "FillPDF," and related names and logos are trademarks of TradingPlus Inc.. You may not use these marks without our prior written consent.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, TradingPlus Inc. disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of any content
• Warranties that the services will be uninterrupted, error-free, or secure
• Warranties regarding the legal validity or acceptance of signed documents

You acknowledge that you use our services at your own risk. We do not guarantee that documents processed through our services will be accepted by any third party, court, government agency, or institution.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADINGPLUS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your use of or inability to use our services
• Any damages arising from the rejection or non-acceptance of signed documents by third parties
• Any damages arising from unauthorized access to or alteration of your content

In no event shall our total liability to you for all claims arising from or related to these Terms or the services exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless TradingPlus Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) any content you upload or submit to our services.

11. Service Availability & Modifications

We strive to maintain high availability of our services, but we do not guarantee uninterrupted access. We may:

• Modify, suspend, or discontinue any aspect of our services at any time
• Impose limits on certain features or restrict access to parts of the services
• Perform maintenance that may temporarily affect service availability

We will make reasonable efforts to notify users of significant changes or planned maintenance, but we are not liable for any modification, suspension, or discontinuation of the services.

12. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the services ceases immediately. Any provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

Since we do not require user accounts, termination typically means blocking access to our services from your IP address or other identifying information.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or your use of our services shall be resolved exclusively in the state or federal courts located in the State of Delaware, United States. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TradingPlus Inc. regarding your use of our services. These Terms supersede any prior agreements or understandings between you and us.
